About
Model a full cap table in seconds: founders, SAFEs converting at the next priced round, an option pool top-up, and new investor ownership. Built to show the dilution mechanics that paper cap tables hide.
How it works
- 01Add founders and their starting share counts.
- 02Define your outstanding SAFE (amount + cap) and the planned option pool percentage.
- 03Enter the priced round amount and pre-money.
- 04We solve for post-money ownership across founders, SAFE holders, the new pool, and the new investor.
Examples
Two founders + $500k SAFE + Seed
Two founders at 6M / 4M shares, a $500k SAFE at $8M cap, a 10% pre-money pool, raising $3M at $12M pre. Founders end around 58%, SAFE holders ~4%, pool 10%, new investor 20%.
Heavy SAFE stack
Stacking multiple SAFEs at low caps can quietly take 15–25% before your priced round. Model each one to see the true dilution before signing the next note.
FAQ
Does this handle multiple SAFEs?+
Today it handles one aggregated SAFE position. For multiple SAFEs at different caps, sum the amounts and use a weighted-average cap as a rough estimate, or model them as a single 'SAFE pool'.
Pre-money vs post-money pool?+
We model a pre-money option pool — the dilution falls on founders before the new investor. Post-money pools shift dilution to investors, which is more founder-friendly but rarer in priced rounds.
Are MFN and discount terms supported?+
Not in this builder — use the dedicated SAFE → Equity Converter for cap vs. discount comparisons.
Can I export this to my real cap table?+
Not yet. Use the breakdown as a pre-term-sheet model; for issuance, switch to Carta, Pulley, or AngelList Equity.
